    Hi there!

    I need to migrate SBS 2003 to Windows 2003 / Exchange 2003...

Two new DELL servers are already in place, as well as 2 Windows 2003 Servers (Standard Edition) together with 40 CALs for Windows Server 2003 and Exchange Server 2003 with 40 CALs... One of servers will take DC role, the other one will host Exchange...

    Here is my plan:

    A) Preparation - AD Migration

    - To join both new servers to SBS domain.
    - To install and configure DNS and DHCP on one of the new servers and promote this server to alternate DC in SBS domain
    - To migrate FSMO from SBS to alternate DC
    - To deactivate Global Catalog from SBS

    B) Exchange Migration

    - to install and configure Exchange server on second DELL server
    - to migrate mailboxes from SBS to new Exchange server

    C) Finish

    - to retire SBS

Is this plan OK? Do I have something missed? Should I expect some troubles with CALs after migration? Anything else I am not awared of?

    Thank you in advance!

It sounds like a plan. However, the devil is in the details, to use a well known cliche - and they can be found in the Swing Migration as you have been pointed to.
