    1. Look for consultant.
    2. Hire consultant
    3. Watch consultant do the job.
    4. Ask questions of the consultant
    5. Pay consultants bill.

    Simon.

Depends on what type of hypervisor your moving it to. You have plenty of options VMWare, Hyper-V, Xen etc. In addition there are various P2V converters such as the VMware Converter.
Exchange of course though is transient. So if you do virtualise it would mean down time if you want to do it safely. "How" you virtualise it though is entirely dependent on your environment and current configuration for source and target. Without knowing the specifics your question is very open ended. Either way as indicated your best bet is to hire a consultant.

          i did it
the best way for me was :
          i used win 2008 R2 hyper v
created a virtual machine and installed win 2008 R2 and Exchange 2007 SP3
and joined it to the Domain as second exchange server
and moved the following from the 1st EX server to the new one
          1-OAB
          2-All Mailboxes
3- The Default mailbox data base
          4-The public folder

and after that i uninstall ed the old one
note: my exchange organisation is internally only
it is easy but take care
