There is no upgrade from exchange 2003 to 2007 only a migration path.
Have a look at http://technet.microsoft.com/en-us/l.../aa996719.aspx for requirements for Exchange 2007

Thanks Matt_Cline. And I have another question:
      - I bought a new HP server (runs Windows 2003 64 bits) + Exchange 2007. I would like to migrate all of mailboxes from Exchange 2003 to Exchange 2007. How can I do?

      Thanks again

All of that information is on Technet. It is much more than can be written in a forum on how to do it. Many of the Exchange 2007 books devote entire chapters to it. Would you ask on a forum how to service you car?

        Simon.
