Are you still keeping the same domain name??

If you are and you are performing an inplace upgrade then you won't need to backup user profiles because they arestill logging into the same domain thus getting the same profile.

What you need to do is keep the server in place and upgrade you AD schema.
Install the new server, installing Server 2003.
Allow the servers to replicate AD.

Once AD has replicated then you start the removal process.

Your updating the schema to accomodate the new 2003 server. This update will prepare your domain for the upgrade.

Did you look at the link i posted in the previous post??

You will need to install the server as a DC to replicate Active Directory from the 2000 DC to the 2003 DC. Once replication has happened you can turn off the 2000 box.

How do you plan on mving the users mailboxes???

It seems to me that you are wanting to start a new domain witht he same name on a single server, which of course can be done. The only problem with this is that you'll need to rejoin each machine to the domain and re-install exchange.

Why???? Is there something wrong with your existing doamin that would prevent the path mentioned by both myself and Biggles77

You really are making alot of work for yourself.

do i need to use special tool for it??
when the replicate is been doing, is my 2003 server going to be under new dorest
in first dc at the forest? or mabye ill need to join the 2003 to an existing domain(the 2000 server in my case)??
i want a clear installation for the 2003 but i thout i will be able to transfer all users profile from 2000 to 2003

                            Re: hello

The replication will happen when you promote your 2003 server to be a DC in your existing domain. This happens automatically.

This will ensure that our users have the least disruption to them by ensuring that there computer acounts and user acount are the same.

The actual process is quite easy.

Follow the instruction given in the link from Biggles77 to update the schema on your 2000 DC.
Allow replication to occur, leave both machines running overnight.
Sieze all the FSMO roles from the 2000 server.
Transfer any data that is stored on the 2000 server to the 2003 server.
Switch off 2000 server and ensure that 2003 server takes over.

                            Basicllly thats it.
