Your windows 2000 have the connection to the Internet trough the moden?

You can use Inetrnet Connection Sharing like shai tsanani said and set the automaticaly ip addressing on the clients you want to share.
WIndows 2000 is not windows XP but the settings are almost the same.

Is this a dialup modem, a cable modem or an ADSL modem?

you need a 3rd party proxy installing on the client with the modem.

You can use something like winproxy, as ISA not compatible with XP Pro\2000 Pro.

if you don't want to change the ip`s, then use hardware router.

it`s the right way to do this
